Terms of Service

These terms govern the use of the Kiedo Kompliance platform at kompliance.kiedo.ai, by the businesses that integrate it and by the people who complete a verification through it.

1.Who we are

Kiedo Kompliance is operated by Ephelia Swisstech SA, a company registered in the Commercial Register of the Canton of Ticino under number CHE-179.848.999, with its registered office at Via Nassa 3a, 6900 Lugano, Switzerland (“we”, “us”, “Kiedo”).

2.The service

Kiedo Kompliance is a hosted identity-verification and compliance-onboarding platform. Businesses (“Clients”) use it to collect and review the information they are required to hold about their own customers, applicants and counterparties (“Applicants”). We provide the hosted forms, the verification workflow, the review tooling and the delivery of results back to the Client.

We are not a bank, a payment institution, a law firm or a regulated financial intermediary, and we do not decide whether any Applicant may be onboarded. That decision, and the regulatory obligation behind it, remains the Client’s.

3.Who these terms bind

  • Clients. Access to the platform is granted under a separate written agreement or order form. These terms apply in addition to it; where the two conflict, the signed agreement prevails.
  • Applicants. If you have reached a verification form through a business you are dealing with, these terms govern your use of that form and of any message we send you as part of it. Your relationship in respect of the underlying product or account is with that business, not with us.

4.Accounts, credentials and API keys

Client accounts are issued to named people. You are responsible for keeping account credentials, API keys and webhook secrets confidential, for the activity carried out with them, and for telling us promptly at support@kiedo.ai if you believe any of them has been compromised. We may suspend a credential immediately where we reasonably believe it has been.

5.Acceptable use

You must not, and must not permit anyone else to:

  • submit information about a person without the lawful basis to do so, or use the platform to collect identity data you have no legitimate need for;
  • use the platform to harass, defraud or impersonate anyone, or to send unsolicited or marketing messages of any kind;
  • probe, scan, overload or attempt to circumvent the platform's security controls, rate limits or tenant isolation;
  • resell, sublicense or expose the platform to third parties except as expressly agreed in writing;
  • use the platform in breach of applicable sanctions, export controls or anti-money-laundering law.

6.Verification flows and Applicant data

Where a Client collects Applicant data through the platform, the Client determines what is collected and why; we process it on the Client’s documented instructions. How that data is handled — including identity documents and mobile numbers — is set out in our Privacy Policy.

Clients are responsible for giving their Applicants the notices, and obtaining the consents, that their own law requires before directing them into a verification flow.

7.SMS messaging terms

Some verification flows use text messages (SMS). This section is the complete description of that messaging programme.

What we send. Kiedo Kompliance sends one-time passcodes only. There are two cases: a code to confirm that a mobile number you entered in a verification form belongs to you, and a code to confirm or sign a document at the end of a flow. A message reads, for example: “Your verification code: 123456. Expires in 5 minutes. Do not share this code.”

We never send marketing, promotional or recurring messages, and we never send a message you did not ask for.

How you opt in. You opt in by entering your own mobile number in a verification form, ticking the consent checkbox, and requesting a code. Every message is triggered by that action. Consent to receive these messages is not a condition of any purchase.

Message frequency. Message frequency varies and depends on your own actions. In a typical onboarding session you will receive one to three messages. A new code can be requested 30 seconds after the previous one; a code expires 5 minutes after it is sent.

Cost. Message and data rates may apply. We do not charge you for these messages; your mobile operator may.

HELP. Reply HELP to any message, or email support@kiedo.ai, for assistance.

STOP. Reply STOP to any message to opt out. You will receive a confirmation and no further messages. Because these codes are how we confirm your number, opting out may mean a verification cannot be completed by SMS — contact the business you are dealing with, or support@kiedo.ai, and we will tell you what alternatives are available. Reply START to opt back in.

Carriers and delivery. Not all mobile operators are supported, and mobile operators are not liable for delayed or undelivered messages. We cannot guarantee that any individual message will arrive.

Your number. Mobile numbers collected for these codes are used to send the codes and nothing else. No mobile information is shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy.

8.Email and other channels

We also send transactional email — sign-in links, resume links for an unfinished form, and notifications about a submission’s progress — and, where a Client has configured it, equivalent messages over chat channels. These are service messages, not marketing, and are sent because you or the Client initiated the process they relate to.

9.Fees

Clients pay the fees in their order form or plan. Charges are processed by our payment processor. Unless the order form says otherwise, fees are exclusive of VAT and other applicable taxes, are payable in advance, and are non-refundable for the period already begun. Applicants are never charged by us.

10.Availability and support

We aim to keep the platform available continuously, and we carry out maintenance with as little disruption as we can. Except where a signed service-level agreement says otherwise, the platform is provided without any uptime commitment and without warranties of any kind, whether express or implied, including fitness for a particular purpose.

11.Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under Swiss law.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data that could have been avoided by the Client’s own backup and reconciliation of the results we deliver; and our total liability in any twelve-month period is limited to the fees paid by the Client in that period.

12.Term and termination

A Client may stop using the platform at any time; fees already due remain payable. We may suspend or terminate access on notice for material breach of these terms, for non-payment, or where we are required to by law. On termination we delete or return Client data in accordance with the Privacy Policy and any data-processing agreement in place.

13.Changes

We may change these terms. The effective date at the top of this page always reflects the current version, and we will give Clients reasonable notice of any change that materially reduces their rights. Continued use after a change takes effect is acceptance of it.

14.Governing law

These terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Lugano, Switzerland have exclusive jurisdiction, subject to any mandatory place of jurisdiction available to a consumer.
